Terms of Service

These Terms of Service ("Terms") govern your use of Hello Central, an internal web platform operated by HelloSugar Corporate ("we", "our", or "HelloSugar") for franchise owners and authorized staff members.

By accessing or using Hello Central, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the platform.

1. Eligibility and Account Access

1.1 Authorized Users

Hello Central is exclusively available to:

• HelloSugar franchise owners
• Authorized HelloSugar corporate staff
• Approved franchise staff members with valid HelloSugar email addresses
• Other individuals specifically authorized by HelloSugar Corporate

1.2 Account Requirements

To access Hello Central, you must:

• Have a valid HelloSugar-affiliated email address
• Authenticate through Google Sign-In
• Maintain the confidentiality of your account credentials
• Immediately notify us of any unauthorized account use

2. Acceptable Use

2.1 Permitted Use

You may use Hello Central to:

• Access franchise resources and documentation
• View training materials and educational content
• Access operational tools and utilities
• Receive corporate communications and updates
• Collaborate with other authorized franchise members

2.2 Prohibited Activities

You agree NOT to:

• Share your account credentials with unauthorized individuals
• Access or attempt to access areas of the platform you're not authorized to use
• Copy, distribute, or disclose confidential franchise information to third parties
• Use the platform for any illegal or unauthorized purpose
• Interfere with or disrupt the platform's operation
• Attempt to reverse engineer, decompile, or hack the platform
• Upload malicious code, viruses, or harmful content
• Misrepresent your identity or affiliation with HelloSugar
• Use automated systems or bots to access the platform
• Violate any applicable laws or regulations

3. Intellectual Property

3.1 Ownership

All content on Hello Central, including but not limited to text, graphics, logos, images, videos, and software, is the property of HelloSugar or its licensors and is protected by intellectual property laws.

3.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use Hello Central solely for authorized franchise business purposes. This license is revocable at any time.

3.3 Restrictions

You may not reproduce, distribute, modify, or create derivative works from any content on Hello Central without prior written permission from HelloSugar Corporate.

4. Confidentiality

You acknowledge that Hello Central contains proprietary and confidential information belonging to HelloSugar. You agree to:

• Maintain the confidentiality of all franchise information
• Use confidential information solely for authorized franchise operations
• Not disclose confidential information to competitors or unauthorized third parties
• Return or destroy confidential information upon termination of your franchise relationship

5. Privacy

Your use of Hello Central is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the platform, you consent to our data practices as described in the Privacy Policy.

6. Disclaimer of Warranties

HELLO CENTRAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not guarantee that the platform will meet your specific requirements or that defects will be corrected immediately.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLOSUGAR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use Hello Central
• Damages resulting from any content obtained through the platform
• Damages exceeding $100 USD in aggregate

This limitation applies regardless of the legal theory on which the claim is based and whether we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless HelloSugar and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use or misuse of Hello Central
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

9. Termination

9.1 Termination by HelloSugar

We may terminate or suspend your access to Hello Central immediately, without prior notice, for:

• Violation of these Terms
• Termination of your franchise agreement
• End of your employment with HelloSugar
• Any other reason at our sole discretion

9.2 Effect of Termination

Upon termination:

• Your right to access Hello Central immediately ceases
• You must cease all use of confidential information
• All provisions of these Terms that should survive termination will remain in effect

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the platform or via email. Your continued use of Hello Central after changes constitutes acceptance of the modified Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of Hello Central shall be resolved exclusively in the state or federal courts located in Texas.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any franchise agreements, constitute the entire agreement between you and HelloSugar regarding your use of Hello Central and supersede any prior agreements.

14. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
